1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the online store located at shop.theboutiquelawyer.com (the "Shop"), and your purchase of any products or services offered through the Shop. The Shop is operated by The Boutique Lawyer, PC ("TBL PC," "Company," "we," "us," or "our") and is hosted on the Shopify e-commerce platform.

TBL PC is not a law firm and does not provide legal services or legal advice. TBL PC is a separate entity from Gilormo Injury Law dba The Boutique Lawyer, which operates the website theboutiquelawyer.com.

By accessing or using the Shop, or by clicking "Add to Cart," "Buy Now," "Check Out," or any similar purchase button, submitting payment, or otherwise completing a transaction through the Shop, you accept and agree to be bound by these Terms and our Privacy Policy, both of which are incorporated herein by reference (collectively, the "Agreement"). If you do not agree to these Terms, you must not access the Shop or purchase any Products.

These Terms supersede and replace any prior Terms of Purchase, Terms of Service, or Terms of Use previously posted on the Shop.

2. Eligibility

The Shop is available only to users who are 18 years of age or older and who are of legal age to form a binding contract in their jurisdiction. By using the Shop, you represent and warrant that you meet these requirements.

3. Changes to These Terms

We may revise these Terms at any time at our sole discretion. The "Last Updated" date at the top of this page indicates when these Terms were most recently revised. All changes are effective immediately upon posting. Your continued use of the Shop or Products after changes are posted constitutes your acceptance of the revised Terms.

4. Products and Services

Scope. Our products include contract templates, contract clauses, educational guides and resources, courses, workshops, and other digital products and materials (collectively, "Products"). Product descriptions, including scope and format, are provided on each Product's listing page.

Digital Delivery. When you complete a purchase and submit payment, you will receive access to download or access the Products as described on the Product's listing page and in your order confirmation email. Delivery method and timing may vary by Product. If a Product is listed as a presale or pre-order, delivery will occur as described on the listing page. We will make commercially reasonable efforts to meet estimated delivery dates.

Accuracy. We make every reasonable effort to display Product descriptions and pricing accurately. We reserve the right to correct any errors in Product descriptions, pricing, or availability at any time, including after you have placed an order. In the event of a pricing error, we will notify you and offer you the option to proceed at the correct price or cancel your order for a full refund.

5. Disclaimer: Not Legal Advice

TBL PC is not a law firm and does not provide legal advice. No attorney-client relationship is formed through your purchase or use of any Products.

All Products are general-purpose templates and informational materials. They are not tailored to your specific legal situation, jurisdiction, or business circumstances. The content included in any Product is for informational and educational purposes only and does not constitute legal, financial, tax, or other professional advice.

You are solely responsible for reviewing and adapting any Product for use in your specific circumstances. We strongly recommend that you have a licensed attorney in your jurisdiction review any template before you use it in your business. Editing and adapting Products is done at your own risk.

Geographic Limitations. Products are drafted based on general principles of United States law and may not be suitable for all jurisdictions. You are solely responsible for ensuring that any Product you purchase complies with the laws of your jurisdiction.

6. License Grant

Single-Use License. By purchasing a Product, you receive a limited, non-exclusive, non-transferable, non-sublicensable, revocable license ("License") to use that Product for yourself and/or your own business only. This License permits you to:

  • Download, copy, edit, modify, adapt, and customize the Product for use in your own business or on your own website(s).
  • Print the Product for your own records or use.

This License is granted to you (the individual or single business entity that purchased the Product) and may not be shared with, transferred to, or used on behalf of any other person, business, or entity.

What This License Does Not Permit. Under the standard single-use License, you may not:

  • Use the Product on behalf of, or for the benefit of, any third party's business or website (e.g., a web designer may not use a privacy policy template on multiple clients' websites under a single-use License).
  • Resell, redistribute, give away, sublicense, publish, or make the Product available to any other person or entity, whether for free or for a fee, in any format (digital, print, or otherwise).
  • Share the Product with others through file-sharing, email, cloud storage, social media, or any other distribution method.
  • Use the Product as a component of a competing product or service.
  • Remove, alter, or obscure any copyright notices, watermarks, or proprietary markings on the Product.
  • Claim authorship or ownership of the Product or any derivative work based on the Product.

Commercial Use License. If you wish to use a Product on behalf of multiple clients, on multiple third-party websites, or in any capacity beyond the single-use License described above (e.g., web designers, agencies, consultants), you must purchase a separate Commercial Use License. Commercial Use Licenses are available by contacting us at hello@theboutiquelawyer.com. Use of a Product on behalf of multiple clients or third parties without a Commercial Use License is a material breach of these Terms.

7. Intellectual Property

TBL PC owns and retains all rights, title, and interest in and to the Products, the Shop, and all associated content, including all copyrights, trademarks, trade secrets, and other intellectual property rights. Nothing in these Terms transfers any intellectual property ownership to you. The License granted in Section 6 is the only right you receive, and we reserve all rights not expressly granted.

The Company name, "The Boutique Lawyer," "TBL," and all related names, logos, product and service names, designs, and slogans are trademarks of TBL PC and/or its affiliates. You must not use such marks without our prior written permission.

Copyright Notice. All Products and Shop content are protected by United States and international copyright laws. © 2026 The Boutique Lawyer, PC. All rights reserved.

8. Artificial Intelligence and Automated Access

Permitted Automated Access. We permit automated crawling and indexing of the Shop solely by major search engine crawlers (e.g., Googlebot, Bingbot) for the purpose of indexing the Shop and displaying content in search results, including AI-assisted search features, provided that such display includes attribution and a link to the source page.

Prohibited Uses. Except as expressly permitted above, you may not:

  • Use any robot, spider, scraper, crawler, or other automated means to access, retrieve, collect, harvest, mine, or download any content from the Shop.
  • Use any content from the Shop, or any Product, to train, develop, fine-tune, validate, test, or otherwise improve any artificial intelligence system, machine learning model, large language model, or similar technology.
  • Aggregate, compile, or create any dataset from Shop content or Products for any purpose.
  • Bypass, circumvent, or disable any technical measures we implement to restrict automated access, including robots.txt directives, rate limiting, CAPTCHAs, or bot-detection mechanisms. Circumvention of such measures may violate the Digital Millennium Copyright Act (17 U.S.C. § 1201).

These restrictions apply to all persons and entities that access the Shop, whether or not they have an account, and regardless of how they obtained access.

Reservation of Text and Data Mining Rights. The Company expressly reserves all rights with respect to text and data mining of content on the Shop and within the Products. Any text or data mining, including for AI training purposes, requires the Company's prior written consent. Licensing inquiries should be directed to hello@theboutiquelawyer.com.

Remedies. Any violation of this Section 8 constitutes a material breach of these Terms. In addition to any other remedies available at law or in equity, the Company reserves the right to (a) immediately terminate the violator's access to the Shop, (b) pursue injunctive relief without the requirement of posting a bond, (c) seek statutory damages under the Copyright Act (17 U.S.C. § 504) and the Digital Millennium Copyright Act (17 U.S.C. § 1203), and (d) recover its reasonable attorneys' fees and costs.

9. Payment and Billing

By providing your payment method, you represent that you are authorized to use it and authorize us (through our payment processor) to charge it for all fees associated with your purchase. Payment is processed by Shopify Payments and/or Stripe. All fees are in United States Dollars (USD) unless otherwise indicated. You agree to provide current, complete, and accurate purchase and account information for all transactions.

We reserve the right to refuse or cancel any order at our sole discretion, including orders that appear to be placed by resellers or that involve pricing errors.

If you are taking advantage of a free trial or limited-time trial period and do not cancel before the trial expires, you authorize us to charge your payment method for the applicable subscription fee.

10. Refund Policy

We offer a seven (7) day refund policy from the date of purchase, subject to the following conditions:

  • Eligibility. To request a refund, you must submit your request within seven (7) calendar days of the original purchase date by emailing hello@theboutiquelawyer.com with your order number and the reason for your request.
  • File Destruction. As a condition of receiving a refund, you represent and warrant that you have permanently deleted and destroyed all copies of the Product(s), including any downloaded files, printed copies, modified or adapted versions, and any copies stored on any device, cloud storage, or other location. You may not retain any copies of the Product(s) after receiving a refund.
  • Confirmation. By requesting a refund, you confirm that you have complied with the file destruction requirement above. We reserve the right to request written confirmation of file destruction before processing your refund.
  • Processing. Approved refunds will be processed to your original payment method within ten (10) business days.
  • Exclusions. Refund requests submitted after the seven-day period will not be honored. Bundles, courses, and Products marked as "final sale" on their listing page are not eligible for refunds.

11. Chargebacks

If you initiate a chargeback or payment dispute with your financial institution rather than first contacting us at hello@theboutiquelawyer.com, you agree to pay the full cost of your original purchase, plus any fees or costs incurred by TBL PC as a result, including chargeback fees imposed by our payment processor. We reserve the right to present these Terms and relevant transaction records to your financial institution, payment processor, and any investigating agency.

12. Promotions, Discounts, and Affiliate Relationships

Promotions. We may offer promotions, discounts, limited-time offers, and bonuses from time to time. Promotions are available while active and are not guaranteed to be available at the time of your purchase. We reserve the right to modify or discontinue any promotion at any time. If you purchased a Product prior to a promotion, we are not obligated to apply the promotional pricing retroactively.

Affiliate Products and Services. We may promote or recommend products or services offered by third parties through affiliate relationships. When you purchase a product or service through an affiliate link on the Shop or in our marketing communications, we may receive a commission or other compensation from the third-party vendor. Affiliate recommendations are based on our genuine assessment of the product or service, but your purchase of any third-party product is a transaction between you and that third party, governed by that third party's terms and privacy policy. TBL PC is not responsible for the quality, delivery, or performance of any third-party product or service.

Our Affiliate Program. We may engage affiliates who promote our Products in exchange for a commission. The availability of Products, pricing, and promotional terms are set solely by TBL PC regardless of how you discovered the Product.

13. User Submissions

If you submit reviews, images, comments, testimonials, or other content ("Submissions") to us on any platform (including social media, the Shop, or by email), you grant TBL PC a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, display, distribute, and create derivative works from your Submissions for any business purpose, including marketing and advertising. We may use your name, likeness, and publicly available information in connection with your Submissions.

You represent that you own or have the necessary rights to grant this license and that your Submissions do not violate any third party's rights. We are under no obligation to maintain Submissions in confidence, pay compensation for Submissions, or respond to Submissions. We may, but have no obligation to, monitor, edit, or remove Submissions that we determine are objectionable or violate these Terms.

14. Prohibited Uses

You may use the Shop only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Shop or any Product for any illegal or unauthorized purpose.
  • Violate any applicable law or regulation in connection with your use of the Shop.
  • Infringe upon the intellectual property rights of TBL PC or any third party.
  • Resell, redistribute, or commercially exploit any Product except as expressly permitted under a Commercial Use License.
  • Submit false or misleading information.
  • Upload or transmit viruses, malware, or other harmful code.
  • Attempt to interfere with or disrupt the Shop's functionality or security.
  • Use any automated means to access the Shop except as permitted in Section 8.
  • Harass, abuse, defame, or discriminate against any person.
  • Collect or track the personal information of other users.

We reserve the right to terminate your access to the Shop for violating any of these prohibitions.

15. Third-Party Links and Platform

Shopify. The Shop is hosted on the Shopify platform. Shopify provides the e-commerce infrastructure that enables us to sell Products to you. Your use of the Shop is also subject to Shopify's Terms of Service and Privacy Policy to the extent they apply to you as an end user.

Third-Party Links. The Shop may contain links to third-party websites, including theboutiquelawyer.com (operated by Gilormo Injury Law). We do not control and are not responsible for any third-party website's content, products, services, or privacy practices. Accessing third-party links is at your own risk.

16. Copyright Infringement and DMCA Procedures

We respect intellectual property rights and expect our users to do the same. If you believe that any content on the Shop infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512(c)(3), by providing our designated copyright agent with the following information in writing:

  1. A physical or electronic signature of the copyright owner or authorized representative.
  2. Identification of the copyrighted work claimed to have been infringed.
  3. Identification of the material that is claimed to be infringing and information sufficient to locate the material.
  4. Your contact information (name, address, telephone number, email).
  5. A statement that you have a good faith belief that use of the material is not authorized.
  6. A statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

17. Privacy

All information we collect through the Shop is subject to our Privacy Policy. By using the Shop, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

18. Disclaimer of Warranties

THE SHOP AND ALL PRODUCTS AND SERVICES DELIVERED THROUGH THE SHOP ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY RIGHTS OR LICENSES.

WE MAKE NO WARRANTY AS TO THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF INFORMATION SET FORTH IN THE PRODUCTS OR ON THE SHOP. PURCHASING A PRODUCT DOES NOT GUARANTEE SPECIFIC RESULTS, INCLUDING FINANCIAL OR BUSINESS GAINS. YOU ARE SOLELY RESPONSIBLE FOR IMPLEMENTING ANY PRACTICES OR ACTIONS DESCRIBED IN THE PRODUCTS.

WE DO NOT WARRANT THAT THE SHOP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TBL PC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, OR SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM (A) YOUR USE OF OR INABILITY TO USE THE SHOP, (B) YOUR USE OF OR RELIANCE ON ANY PRODUCT, (C) ANY ERRORS OR OMISSIONS IN ANY PRODUCT OR SHOP CONTENT, OR (D) ANY OTHER MATTER RELATING TO THE SHOP OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Maximum Damages. OUR ENTIRE MAXIMUM LIABILITY AND YOUR SOLE REMEDY FOR ANY CLAIM ARISING UNDER OR IN CONNECTION WITH THESE TERMS SHALL BE LIMITED TO THE ACTUAL AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

20. Indemnification

You agree to defend, indemnify, and hold harmless TBL PC, its officers, directors, employees, affiliates, agents, contractors, licensors, service providers, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms, (b) your use of any Product, including any liability arising from your use of a Product in your business or on your website, (c) your violation of any law or the rights of any third party, or (d) any content you submit through the Shop.

21. Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Georgia, without giving effect to any choice or conflict of law provision. In the event of conflicting laws, the laws of the State of Georgia shall control.

22. Dispute Resolution and Arbitration

Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to contact us at hello@theboutiquelawyer.com and attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration. If informal resolution is unsuccessful, any dispute arising from or relating to these Terms, the Shop, or any Product shall be resolved through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, applying Georgia law. Arbitration shall take place in Forsyth County, Georgia, before a single arbitrator. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Costs. Each party shall bear its own attorneys' fees and costs. The arbitration filing fees and arbitrator's fees shall be allocated in accordance with the AAA Consumer Arbitration Rules.

Exceptions. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, without the requirement of posting a bond.

23. Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TBL PC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. IF A CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND TBL PC EACH WAIVE ANY RIGHT TO A JURY TRIAL.

24. Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SHOP, OR ANY PRODUCT MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

25. Force Majeure

We shall not be liable or responsible for any failure or delay in our performance under these Terms caused by circumstances beyond our reasonable control, including acts of God, fire, flood, earthquake, natural disasters, cyber attacks, terrorism, epidemic, pandemic, labor disputes, supply chain disruptions, telecommunications failures, or power outages.

26. Notices

We may provide notice to you by (i) sending a message to the email address associated with your order or account, or (ii) posting to the Shop. Notices sent by email are effective at the time of sending; notices posted to the Shop are effective upon posting.

27. Severability, No Waiver, and Assignment

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to exercise or enforce any right or provision shall not constitute a waiver of such right or provision. A right or provision will only be considered waived if done so in writing by an authorized representative of TBL PC.

You may not transfer or assign any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

28. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TBL PC regarding the Shop and any Products, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, including any prior Terms of Purchase, Terms of Service, or Terms of Use posted on the Shop. Any ambiguities in these Terms shall not be construed against the drafting party.
